Investor due diligence for hardware startups

Prepare the evidence behind your EU launch story before an investor tests the route, budget and timeline. The goal is not to pretend every risk is closed—it is to show that each material risk is known, bounded and owned.

Due diligence tests consistency.

The product in the pitch deck, the version in the test report, the claims on the website, the cost model and the promised launch date must describe the same commercial reality.

What investors need to believe

A credible EU launch case supports three linked conclusions: customers will buy the product, the company can legally and operationally reach them, and the current financing plan survives the route. Evidence in one area cannot repair a contradiction in another.

CommercialThe first market can return the invested capital.
RegulatoryThe route is plausible, explicit and costed.
FinancialRunway reaches the next value-inflection point.

Evidence map

Six packages to prepare

For each package, record the claim, supporting evidence, confidence, open risk, owner and resolution date.

01

Product and claims

Are we investing in a defined product or a moving target?

Prepare

  • Current product specification and bill of materials
  • Intended-use statement, target users and use environment
  • Claims inventory covering website, packaging and pitch deck
  • Version history showing what has changed and why
02

Market case

Does the first EU market justify the cost and attention required?

Prepare

  • First-country rationale rather than an undifferentiated ‘Europe’ plan
  • Demand evidence tied to a realistic price and channel
  • Competitor comparison including regulatory positioning
  • Base and downside volume assumptions
03

Regulatory route

What must be true before this product can be placed on the market?

Prepare

  • Provisional classification and applicable-framework map
  • Reasoned treatment of borderline questions
  • List of required tests, documentation, registrations and roles
  • Named assumptions and classification confidence
04

Technical evidence

How much of the compliance case already exists and how reliable is it?

Prepare

  • Test reports, certificates and supplier declarations
  • Gap list for missing, outdated or wrong-version evidence
  • Technical-file ownership and access rights
  • Plan for design changes, corrective work and re-testing
05

Budget and runway

Can this round fund the company through a legally supportable launch?

Prepare

  • Regulatory Entry Budget with low–high ranges
  • One-off, recurring and unpriced items shown separately
  • Dependency-based timeline linked to cash runway
  • Contingency for failed tests, rework and launch delay
06

Ownership and control

Who owns each obligation and what happens after launch?

Prepare

  • Named internal owner for regulatory decisions
  • Manufacturer, importer, representative and distributor responsibilities
  • Supplier-change and document-control process
  • Complaint, incident and post-market monitoring plan

Data-room blueprint

Make evidence findable and version-controlled

Use a simple index with document owner, product version, issue date, status and open gaps.

01Product definitionSpecifications · intended use · claims · versions
02Market evidenceCountry choice · interviews · pricing · competitors
03Regulatory routeClassification · requirements · assumptions · advice
04Technical evidenceTests · declarations · certificates · gap register
05Budget and planREB · timeline · runway · contingencies
06Contracts and controlSuppliers · IP · responsibilities · monitoring
Do not upload documents without context.

A certificate, quotation or test report should state what conclusion it supports and which product version it covers.

Common red flags

Replace confidence theatre with evidence

Weak answerPrepared answer
“We already have CE.”Show which legal acts, standards and exact product version the evidence covers.
“Europe is one market.”Name the first country, channel, language obligations and operating assumptions.
“The factory handles compliance.”Map legal responsibilities and confirm your access to the full evidence set.
“Testing will cost about €5,000.”Present sourced ranges, exclusions, recurring items and unpriced contingencies.
“We launch three months after funding.”Show the critical path, prerequisites and re-test contingency.
“It is a wellness product, not medical.”Support intended purpose and every health-related claim with a documented rationale.

Thirty-day preparation sprint

Close contradictions before filling folders

  1. Week 1Freeze the assessed product, intended use and claims.
  2. Week 2Map the likely route and identify binary classification risks.
  3. Week 3Build the Regulatory Entry Budget and critical-path timeline.
  4. Week 4Reconcile the pitch deck, financial model and data-room evidence.
